Estoppel Certificate

An estoppel certificate is a legally binding document signed by a tenant that certifies the current status of their lease, including the lease term, rent amount, any outstanding landlord obligations, and confirmation that the lease is in full force and effect. It prevents the tenant from later making claims inconsistent with what they certified.

Estoppel certificates are commonly required by lenders and buyers during property acquisitions and refinancings. They provide third-party verification of lease terms, helping investors and lenders confirm the accuracy of rent rolls and identify any disputes or lease modifications that could affect the property’s value or income.
